Aditya Birla Fashion and Retail Limited (ABFRL) announced the effectiveness of the Scheme of Arrangement between ABFRL and Aditya Birla Lifestyle Brands Limited (ABLBL) and their respective shareholders and creditors.

• The effectiveness follows the filing of the certified copy of the National Company Law Tribunal (NCLT), Mumbai bench Order with the Registrar of Companies, Mumbai, satisfying all conditions precedent.
• The Effective Date of the Scheme is May 1, 2025, being the first day of the month following the month in which all conditions precedent were satisfied.
• The Appointed Date as per the Scheme is April 1, 2024.
• The Boards of Directors of both ABFRL and ABLBL noted the effectiveness of the Scheme on April 23, 2025.
