Eimco Elecon (India) Limited held its 51st Annual General Meeting (AGM) on 25th June, 2025, from 10:00 a.m. to 11:18 a.m. All resolutions placed before the members were passed with the requisite majority.
Key resolutions approved include:
- Consideration and adoption of the audited financial statements for the financial year ended 31st March, 2025, along with the Board and Auditors' reports.
- Declaration of dividend for the financial year ended 31st March, 2025.
- Re-appointment of Mr. Mukulnarayan Dwivedi (DIN: 08442155) as a Director liable to retire by rotation.
- Appointment of Secretarial Auditors of the Company.
- Appointment of Dr. Sonal V. Ambani (DIN: 02404841) as an Independent Director for a term of five consecutive years.
- Approval of Material Related Party Transaction(s) with Emtici Marketing LLP. This resolution passed with 56.07% of votes in favour from eligible shareholders, noting that 1,275 votes cast in favour by a related party were not taken into account and treated as invalid.
- Adoption of a new set of Articles of Association of the Company.
- Ratification of remuneration payable to the Cost Auditor of the Company for the financial year ending 31st March, 2026.
