HOV Services Limited announced its audited financial results for the quarter and year ended March 31, 2025, along with other key decisions from its Board Meeting held on May 30, 2025.

• Financial Performance (Standalone & Consolidated) for FY25:

  • The company reported a standalone revenue from operations of ₹2,246.83 lakhs for the financial year ended March 31, 2025, with a profit of ₹422.39 lakhs. Basic and Diluted Earnings Per Share (EPS) stood at ₹3.35.
  • For the quarter ended March 31, 2025, standalone revenue from operations was ₹551.48 lakhs, and profit was ₹132.33 lakhs, with an EPS of ₹1.05.
  • Consolidated revenue from operations for the year ended March 31, 2025, was ₹2,246.83 lakhs, with a profit from continuing operations of ₹422.32 lakhs. Consolidated EPS from continuing operations was ₹3.35.
  • For the quarter ended March 31, 2025, consolidated revenue from operations was ₹551.48 lakhs, and profit from continuing operations was ₹132.36 lakhs. Consolidated Total Comprehensive Income for the quarter was a loss of ₹153.78 lakhs, primarily due to changes in fair value of FVOCI equity instruments.

• New Wholly-Owned Subsidiary: The Board approved the formation of Healthcare Capital Holdings LLC in Nevada State, USA, as a wholly-owned subsidiary.

• Key Appointments and Re-appointments:

  • Mr. Sunil Rajadhyaksha was re-appointed as Whole-time Director for a further term of five years, commencing April 1, 2026, until March 31, 2031, subject to necessary approvals. Mr. Rajadhyaksha is a promoter and has over four decades of executive leadership experience.
  • Mrs. Ruchi Bhave, a Practicing Company Secretary, was appointed as the Secretarial Auditor for a term of five years from FY 2025-26 till FY 2029-30, subject to shareholder approval.
  • Mr. Bhargav Shrikant Thakkar (MBBS, CPC, CPC-H) was appointed as Executive Vice President, RCM Operations, effective May 30, 2025. He has over 18 years of healthcare experience.
  • The Nomination & Remuneration Committee also granted 60,000 ESOPs to Mr. Bhargav Shrikant Thakkar under the HOVS Stock Option Plan 2007.

• Annual General Meeting (AGM): The 37th AGM will be convened on September 12, 2025, through Video Conferencing/Other Audio Visual Means. The Register of Members and Share Transfer Books will remain closed from September 10, 2025 to September 12, 2025 (both days inclusive) for the purpose of the AGM.
