The Board of Directors of Samvardhana Motherson International Limited approved the formulation, adoption, and implementation of the 'Samvardhana Motherson International Limited – Employee Stock Option Scheme 2025' (ESOP Scheme, 2025), subject to shareholders' approval.
The board recommended issuing up to 6,30,00,000 grants (pre-bonus issue), equivalent to 9,45,00,000 grants (post-bonus issue) under ESOP Scheme 2025.
Each grant entitles the holder to one fully paid-up equity share of face value ₹1 each upon exercise.
The exercise price per option will be determined by the Nomination and Remuneration Committee (NRC), with a maximum discount of up to 15% on the market price of the shares on the grant date.
The options will vest not earlier than one year and not later than five years from the grant date, and the exercise period will be three years from the vesting date.
