Nazara Technologies Limited has provided an update regarding the acquisition of AFK Gaming Private Limited ("AFK") by its material subsidiary, Nodwin Gaming Private Limited ("Nodwin"). Further to the previous intimation dated April 27, 2025, and pursuant to the Share Purchase Agreement dated December 18, 2024, Nodwin is acquiring 92.30% of the equity share capital of AFK from its founders and other shareholders.

The aggregate consideration for this acquisition is INR 7.58 Crores, payable by Nodwin.

The timeline for the closing of this acquisition, as per the Agreement, has been further extended to June 25, 2025.
