Authum Investment & Infrastructure acquires controlling stake in India SME Asset Reconstruction Company

Authum Investment & Infrastructure Limited (AIIL) has successfully concluded the acquisition of equity shares of India SME Asset Reconstruction Company Limited (ISARC) on June 17, 2025.
The transaction involved:
Acquisition of 13,00,00,000 (thirteen crore) equity shares through fresh subscription.
Acquisition of 7,32,50,000 (seven crore thirty-two lakh and fifty thousand) equity shares from eight existing shareholders.
Following the acquisition, AIIL now holds 20,32,50,000 (twenty crore thirty-two lakh and fifty thousand) equity shares of ISARC, representing approximately 88.37% of its paid-up share capital on a fully diluted basis.
Consequently, ISARC has become a subsidiary of Authum Investment & Infrastructure Limited.
In line with the Reserve Bank of India's approval dated March 26, 2025, two directors nominated by AIIL will be appointed to ISARC's Board once the Company's name appears in the Register of Members.

Authum Investment & Infrastructure Limited (AIIL) has entered into a Commercial Transaction agreement on 13 June 2025 with Devicam Capital LLP and Pronomz Ventures LLP.

Under this agreement, AIIL will acquire 39,27,000 shares of OneSource Specialty Pharma Limited (NSE: ONESOURCE | BSE: 544292).
This acquisition will result in AIIL holding 3.43% of the voting rights in OneSource Specialty on a fully diluted basis.
OneSource Specialty Pharma Limited, a pharmaceuticals company, had a Net Worth of ₹ 5,880 Crores and a Turnover of ₹ 1,444.8 Crores as of March 31, 2025.
The company, incorporated on 12 June 2007, was formerly known as Stelis Biopharma Limited and rebranded in February 2024 as India’s first specialty pharma pure-play Contract Development and Manufacturing Organization (CDMO).
Its turnover for the last three fiscal years was: FY 22-23: ₹ 41.07 Crores; FY 23-24: ₹ 171.90 Crores; FY 24-25: ₹ 1,444.8 Crores.
The acquisition is part of a Commercial Transaction, and its fair market value, based on NSE price on 13 June 2025, is aggregating to ₹ 2,028.
No governmental or regulatory approvals are required for this acquisition, which was completed on 13 June 2025.

Authum Investment & Infrastructure Limited (AIIL) announced the cessation of Mrs. Bhaviika Jain as an Independent Director.

Mrs. Bhaviika Jain was appointed as an Independent Director of the Company on May 30, 2020, for a term of five years.
Her tenure concluded on May 29, 2025.
Accordingly, she ceased to be an Independent Director of the Company with effect from May 30, 2025.
The Board of Directors and Management of the Company expressed their deep appreciation for her invaluable contributions, guidance, and services rendered during her tenure.

Authum Investment & Infrastructure Limited (AIIL) has announced that it has received approval from the Calcutta Stock Exchange Limited (CSE) for its application for voluntary delisting. Consequently, the company's equity shares will be delisted from the official list of CSE, effective from May 30, 2025.

The company will continue to remain listed on the National Stock Exchange of India Limited (NSE) and BSE Limited.
