Coromandel International Limited announced on June 11, 2025, that it has issued a corporate guarantee in favor of Citibank N.A. for the working capital facility of its subsidiary, Baobab Mining & Chemicals Corporation, S.A., Senegal (BMCC).

• BMCC is availing a working capital facility of USD 21 Million (equivalent to XOF 12,600 million or XOF 1,260 crore).
• The corporate guarantee issued by Coromandel International Limited amounts to USD 23.1 Million (being 110% of the working capital facility, equivalent to XOF 13,860 million or XOF 1,386 crore).
• Baobab Mining & Chemicals Corporation is a subsidiary held through Coromandel Chemicals Limited (CCL), which is a wholly-owned subsidiary of Coromandel International Limited.
• The transaction is stated to be at arm's length basis.
• The corporate guarantee will be a contingent liability for Coromandel International Limited, limited to USD 23.1 Million (XOF 1,386 crore). The company may be required to pay under the guarantee if BMCC fails to do so.

• Coromandel International Limited's shareholders approved the following resolutions through postal ballot with the requisite majority:
• Appointment of Mr. Natarajan Srinivasan as a Director of the Company.
• Appointment of Mr. Natarajan Srinivasan as Whole-time Director, designated as Executive Vice Chairman of the Company, effective from 30 April 2025 to 30 September 2027, with a basic salary of ₹20 lakh per month and other allowances and benefits as approved by the Board.
• Approval for alteration of the Memorandum of Association (MoA) of the company, including amendments to existing object clauses and insertion of new object clauses related to various business activities such as manufacturing Active Pharmaceutical Ingredients (API), animal feeds, renewable energy, and mining.

Coromandel Chemicals Limited (CCL), a wholly-owned subsidiary of Coromandel International Limited, has executed a joint venture agreement with Sakarni Plaster (India) Private Limited.

Key details of the Joint Venture:

• The JV is being set up for the manufacture and sale of Phospho-Gypsum based products.
• It aims to capitalize on the rapidly expanding gypsum plaster market and establish a new category of Phospho-Gypsum-based plasters and products in India and export markets.
• CCL will hold a 60% equity shareholding in the JV.
• Sakarni group will hold a 40% equity shareholding.
• CCL's capital contribution towards the proposed JV will be up to ₹59 crore, to be made in one or more tranches.
• This JV follows an earlier disclosure dated April 30, 2025, regarding equity infusion in CCL for exploring such joint venture opportunities as part of a diversification and long-term strategy.

• Coromandel International Limited has sent a Notice of Postal Ballot dated April 30, 2025, to its members on May 8, 2025.

• Shareholders' approval is sought for the following through remote e-voting:

• Appointment of Mr. Natarajan Srinivasan (DIN: 00123338) as a Director of the Company (Ordinary Resolution).

• Appointment of Mr. Natarajan Srinivasan (DIN: 00123338) as Whole-time Director, designated as Executive Vice Chairman, effective from April 30, 2025, to September 30, 2027 (Ordinary Resolution).

• Proposed remuneration includes a Basic Salary of ₹20,00,000 per month, Allowances and Perquisites up to a maximum of 300% of Basic Salary, Incentives, and Retirement Benefits as per company rules.

• Approval for alteration of the Memorandum of Association (MoA) by amending existing object clauses and inserting new ones (Special Resolution). The proposed new objects include engaging in Active Pharmaceutical Ingredients (API) from plant extracts, animal/poultry feeds, expanded agrochemicals/biochemicals/bio-fertilisers business, R&D, seed business, bio-based chemicals/bio-refinery, organic waste processing, green energy/hydrogen/ammonia production, contract manufacturing, chemicals for EV batteries/Energy Storage, mining/processing ores, drones, tech licensing, R&D services, training/advisory to farmers, e-commerce, and financial/risk management services to farmers.

• The Postal Ballot Notice is being sent only through electronic means.

• Cut-off date to determine eligible members for voting is May 2, 2025.

• The remote e-voting period starts on May 9, 2025, at 09:00 AM (IST) and ends on June 7, 2025, at 05:00 PM (IST).

• The results of the postal ballot are expected to be announced on or before June 10, 2025.
