• Embassy Developments Limited (EMBDL) has acquired 100% equity shares of Squadron Developers Private Limited (SDPL) on June 26, 2025.
• The acquisition cost is ₹456.61 crore, based on closing adjustments to an agreed enterprise value of ₹455 crore.
• SDPL has become a wholly-owned subsidiary of EMBDL.
• This acquisition is part of EMBDL's growth strategy to build a robust pipeline of new launches and expand its presence in the key markets of Bengaluru.
• SDPL is involved in the construction and development of real estate, with a proposed residential development of approximately 1.27 million sq ft (11.8 lakh sq ft) of premium and luxury apartments in North Bengaluru.
• The project is situated on a ~10.59 acre land parcel at Embassy Hub, Yelahanka, Bengaluru, with SDPL owning ~7.49 acre and having development rights on ~3.10 acre through a Joint Development Agreement.
• The acquisition was a related party transaction, which was approved by the Company's shareholders.

The Promoter and Promoter Group of Embassy Developments Limited (EMBDL) have made a declaration under Regulation 31(4) of SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, for the financial year 2024-25.

• The group was classified as "Promoter and Promoter Group" effective January 24, 2025, following the scheme of amalgamation of NAM Estates Private Limited with the company.
• As of March 31, 2025, they collectively hold 53,00,55,556 fully paid-up equity shares, representing 43.36% of the company's paid-up share capital/total voting rights.
• They have confirmed that after being classified as Promoter and Promoter Group, they have not made any encumbrance, directly or indirectly, on any shares held by them in the company, until the closure of the financial year 2024-25.
• This declaration has also been made simultaneously to the Audit Committee of the Board of the Company, as prescribed.

• Embassy Developments Limited (EMBDL) has signed a Joint Development Agreement (JDA) for a ~17.9-acre land parcel in Whitefield, Bengaluru.
• The planned development will be a premium residential community with an estimated gross development value (GDV) of ~₹1,600 Cr.
• The project will span ~1.6 msf of saleable area and feature ~1,000 apartments (2, 2.5, and 3 BHK configurations).
• Launch is targeted for FY2027, catering to demand from IT and ITeS professionals.
• Aditya Virwani, Managing Director, stated that Whitefield is a strategic focus due to its resilience and sustained demand. He also mentioned a secured launch pipeline of 10 projects for FY2026 with an expected GDV of over ₹22,000 crore and active exploration of new opportunities.

• The meeting is scheduled for June 6, 2025, starting from 4:00 PM onwards.
• It will be a Group Meeting conducted at the Company's Corporate Office in Mumbai.
• Discussions during the meet will be based exclusively on publicly available information, with no unpublished price sensitive information (UPSI) intended for disclosure.
• The company also stated that the schedule is subject to change due to unforeseen circumstances involving participants or the Company.

• Embassy Developments Limited (EMBDL) has allotted 1,65,90,441 fully paid-up equity shares of face value ₹2 each on June 02, 2025.
• The allotment is pursuant to the conversion of 1,65,90,441 unlisted warrants by Micro Labs Limited, originally issued on May 21, 2024, at an issue price of ₹111.51 per share (including a premium of ₹109.51).
• The company received a balance consideration of ₹138,75,00,056.93, representing 75% of the issue price for the exercised warrants.
• The equity shares issued rank pari passu with existing equity shares of the company.
• Following the allotment, the paid-up equity share capital of the company has increased to ₹2,73,16,96,926 divided into 1,36,58,48,463 equity shares.
• Micro Labs Limited now holds 1,79,35,612 shares, representing 1.31% of the outstanding paid-up share capital, compared to 13,45,171 shares (0.10%) pre-allotment.
