Gokaldas Exports Limited (GOKEX) has announced a postal ballot to seek shareholder approval for its 'GEL Employee Stock Option Plan 2025' (ESOP 2025). Key details of the proposed plan include:

• The plan aims to offer and grant not exceeding 20,00,000 (Twenty Lakhs) employee stock options.
• Each option, upon exercise, will convert into one equity share of face value ₹ 5/-.
• Eligible employees include those working in India or outside, for the company and its subsidiaries, excluding promoters, promoter group members, independent directors, and directors holding directly or indirectly more than 10% of outstanding equity shares.
• Options granted will vest not earlier than 1 year and not later than 3 years from the date of grant.
• The exercise price per option will be determined by the Nomination and Remuneration Committee, up to a 10% discount to the market price, but not less than the face value of ₹ 5/-. The market price is defined as the closing price on the stock exchange with the highest trading volume on the day immediately prior to the Committee finalizing the options to be granted.
• The exercise period for vested options will be a maximum of 1 year from the vesting date.
• The company stated that equity-based compensation is integral for aligning employee goals with organizational objectives and for attracting, retaining, and rewarding employees to drive growth. The previous scheme, 'GEL Employee Stock Option Plan 2022', concluded in March 2025.
• The remote e-voting for the postal ballot will commence on Wednesday, June 25, 2025, at 9:00 a.m. IST and conclude on Thursday, July 24, 2025, at 5:00 p.m. IST.
• The cut-off date for determining eligible members for voting is Friday, June 20, 2025.
• The results of the postal ballot are expected to be announced on or before Monday, July 28, 2025.

Gokaldas Exports Limited (GOKEX) has announced a schedule of meetings with institutional investors and research analysts, which will be held with the company's Senior Management.

• On June 4, 2025, the company will hold one-on-one physical meetings in Mumbai with several entities, including Axis Mutual Fund, Fidelity Funds, Goldman Sachs Asset Management, Birla Mutual Fund, Union Mutual Fund, SBI Mutual Fund, Bandhan Mutual Fund, and others.
• On June 5, 2025, further one-on-one physical meetings are scheduled in Mumbai with ICICI Pru Life, Quant Mutual Fund, Motilal Mutual Fund, Tata Mutual Fund, Kotak Mutual Fund, SBI Life Insurance, and other participants.

• Gokaldas Exports Limited (GOKEX) announced audited financial results for the quarter and year ended March 31, 2025.
• Revenue from operations for the year stood at ₹38,642.396 lakhs compared to ₹23,788.847 lakhs in the previous year.
• Net profit for the year is ₹15,854.09 lakhs, compared to ₹13,097.20 lakhs last year.
• The company has subscribed to multiple tranches aggregating to 17,50,000 Optionally Convertible Debentures (OCDs) of BRFL Textiles Private Limited (BTPL) for ₹17,500 lakhs.
• Gokaldas Exports has provided corporate guarantees to financial institutions on behalf of BTPL amounting to ₹100 crore as at December 31, 2024, which increased to ₹275 crore as at March 31, 2025, for securing loans availed by BTPL.
• Subsequent to the year end, in April 2025, the Company completed the acquisition of 9,37,69,382 Equity shares and 1,57,89,474 Non-Cumulative Compulsorily Convertible Preference Shares of BTPL for ₹5,567.10 Lakhs, constituting 13.30% shareholding of BTPL on a fully diluted basis.
• The company raised money via Qualified Institutional Placement (QIP) and allotted 77,41,935 equity shares at ₹775 per share, aggregating to ₹60,000 lakhs. 100% of the QIP proceeds have been utilized for the intended purpose.

Gokaldas Exports Limited (GOKEX) announced its audited financial results for the quarter and year ended March 31, 2025.

• For the fourth quarter of fiscal year 2025 (4QFY25):
  • Consolidated total income increased by 27% year-on-year (YoY) to ₹ 1,035 Crore.
  • Consolidated profit before tax (PBT) grew 84% YoY to ₹ 79 Crore.
  • EBITDA margins improved by 272 basis points YoY, reaching 13.7%, attributed to productivity gains and robust cost management efforts.
• For the full fiscal year 2025 (FY2025):
  • Consolidated total income touched a historical high of ₹ 3,917 Crore, registering a growth of 63% YoY.
  • Consolidated PBT for the year stood at ₹ 218 Crore, up 37% YoY.
• Commenting on the performance, Mr. Sivaramakrishnan Ganapathi, Vice Chairman and Managing Director of Gokaldas Exports, stated:
  • FY2025 was an important milestone, marking a period of consolidation of acquisitions, which led to healthy growth in total income and profits.
  • Significant effort is required to further improve margins over the next few years as the company continues to consolidate and grow the business.
  • He noted that the reciprocal tariff imposed by the US poses a formidable challenge in FY2026 by inducing business volatility and margin pressure.
  • However, the recently concluded India-UK Free Trade Agreement (FTA) presents an opportunity upon its implementation.
