Havells India Limited held its 42nd Annual General Meeting (AGM) on 17th June 2025, from 11:00 am to 11:50 am, via Video Conferencing (VC)/Other Audio Visual Means (OAVM). The remote e-voting period ran from 14th June 2025 to 16th June 2025, with e-voting also available during the meeting.

All nine resolutions proposed at the AGM were approved with the requisite majority. Key approvals include:

• Adoption of the Audited Financial Statements and Consolidated Financial Statements for the financial year ended 31st March 2025.
• Confirmation of the interim dividend of ₹ 4.00 per equity share for the Financial Year 2024-25.
• Declaration of a final dividend of ₹ 6.00 per equity share for the Financial Year 2024-25.
• Re-appointment of Shri Siddhartha Pandit and Shri Anil Rai Gupta as Directors, who were retiring by rotation.
• Re-appointment of Shri Siddhartha Pandit as Whole-time Director for another term of 3 years.
• Ratification of the Cost Auditors’ Remuneration.
• Appointment of M/s MZ & Associates as Secretarial Auditors for a period of 5 years.
• Appointment of Shri Abhinav Rai Gupta (relative of Director) to an office or place of profit in the Company.

Havells India Limited has announced its schedule for upcoming analyst and institutional investor meets in June 2025.

• The company will participate in a physical group meeting organized by ICICI Prudential Asset Management Company on 11 June 2025, from 12 pm to 1 pm, in Noida.
• Following this, Havells India will also join the Elara Consumer Durables & Electrical Day on 20 June 2025. This will be a virtual event, including both group and one-on-one sessions, scheduled from 11 am to 1 pm. The company has confirmed that no unpublished price sensitive information will be shared during these meetings.

Havells India Limited has announced its schedule for participating in analyst and institutional investor meets during May and June 2025. The company will engage with various firms through a mix of physical and virtual group and one-on-one meetings.

• 30 May 2025: Participation in B&K Securities 15th Annual Investor Conference - TRINITY INDIA 2025, involving group and one-on-one physical meetings in Mumbai from 11am onwards.
• 3 June 2025: Attendance at BofA Securities 2025 India Conference, with group and one-on-one physical meetings in Mumbai from 11am onwards.
• 4 June 2025: Engagement in Morgan Stanley India Investment Forum 2025, featuring group and one-on-one physical meetings in Mumbai from 10am onwards.
• 6 June 2025: Virtual group meeting for J.P. Morgan India Consumer C-Suite Access Days, scheduled from 2pm to 3pm.
• 19 June 2025: Participation in Citi India Consumer Tour, a physical group meeting in Noida from 9am to 10am.

The company has clarified that no unpublished price sensitive information is proposed to be shared during these meetings.

Havells India Limited announced a further enhancement of its annual manufacturing capacities for Cables at its Alwar location.

• This is in continuation to earlier intimations on 9th and 10th July 2024, regarding a proposed expansion from 32.9 lakh km to 41.2 lakh km with an investment of ₹375 crore, expected to be operational by March 2026.
• The company has now decided to additionally enhance its annual manufacturing capacities of Cables at Alwar by 0.25 lakh km.
• This additional expansion involves an investment of ₹340 crore.
• The total annual capacity of Cables at Alwar will reach 41.45 lakh km.
• The additional capacity enhancement and capital expenditure are intended to meet the growing demand for Cables and improve operational efficiencies through backward integration and process improvements.
• The additional investment is proposed to be funded through internal accruals.
• The enhanced capacity expansion is expected to be operational by September 2026.
