• IFGL Refractories Limited has fixed Friday, 18th July, 2025 as the Record Date for determining eligible members for its Bonus Equity Shares.
• The bonus shares will be issued in a ratio of 1:1, meaning 1 (one) new fully paid-up Equity Share of ₹10 each will be issued for every 1 (one) existing fully paid-up Equity Share of ₹10 each held.
• The Bonus Shares will be allotted to members whose names appear in the Register of Members/Register of Beneficial Owners as of the Record Date.
• Once allotted, the Bonus Shares will rank pari passu in all respects with the existing fully paid-up equity shares.
• Bonus Shares will be allotted in dematerialized form only. For members holding physical shares without provided demat details, the Bonus Shares will be credited to a new demat suspense account of the Company.

Shishir Kumar Bajoria, a promoter of IFGL Refractories Limited (IFGLEXPOR), has made a disclosure under Regulation 31(4) of SEBI (Substantial Acquisition of Shares & Takeovers) Regulations, 2011.

• The disclosure confirms that the promoter, along with family members and wholly-owned companies, has not made or created any encumbrances, directly or indirectly, on their shareholding.
• This declaration covers the financial year ended 31st March, 2025, and thereafter.
• As of 31st March, 2025, the promoter group's total shareholding amounted to approximately 72.43% of the company's equity shares. This includes 14,81,642 shares (4.11%) held by Shishir Kumar Bajoria and 2,40,44,509 shares (66.72%) held by Bajoria Financial Services Pvt Ltd, among others.

IFGL Refractories Limited has issued a notice to its shareholders regarding the transfer of equity shares to the Investor Education and Protection Fund (IEPF).

• The notice, published on Saturday, 7th June 2025, informs shareholders about the provisions of the Companies Act, 2013 and IEPF Rules, 2016, which mandate the transfer of shares where dividends have remained unpaid or unclaimed for seven consecutive years or more to the IEPF.
• Shareholders with unpaid dividends, particularly for the financial year 2017-18, are urged to submit their applications along with requisite documents to the company or its Registrar by Wednesday, 24th September 2025.
• The company has sent individual notices to affected shareholders and uploaded details on its website: https://ifglgroup.com/investor/shareholders-information/.
• If no communication or request is received by the specified date, the company will proceed to transfer the shares to the IEPF without further notice.
• For shares held in physical form, duplicate share certificates will be issued for the purpose of transfer to IEPF, and original certificates will be automatically cancelled. For shares in electronic mode, the demat account will be debited.
• Shares transferred to IEPF, including any accrued benefits, can be claimed back from the IEPF Authority by following the prescribed procedure.
