• The cut-off date for determining shareholder eligibility for remote e-voting and e-voting during the AGM is Monday, June 23, 2025.
• The Notice of the 27th AGM and the Annual Report for the financial year ended December 31, 2024, have been dispatched to shareholders and are available on the company's website.
• For the financial year ended December 31, 2024, IGIL reported:
  • Turnover of ₹ 1,053.2 crore (Rs. 10,532 million), marking a 17% growth.
  • EBITDA of ₹ 599.7 crore (Rs. 5,997 million), showing a 21% growth.
  • Profit After Tax (PAT) of ₹ 427.3 crore (Rs. 4,273 million), indicating a 29% growth.
  • Market Capitalisation stood at ₹ 23,937.33 crore as on December 31, 2024.
• CEO & MD, Tehmasp Nariman Printer, stated that the company delivered a resilient performance in CY 2024 despite global challenges like the Ukraine conflict and downward pressure on natural diamond prices due to Lab-Grown Diamonds (LGDs). He highlighted a sharp uptick in consumer adoption of LGDs which helped sustain demand.
• IGIL is India’s largest gemological grading organization with a 50% market share in India, and the world’s second-largest certification laboratory with a 33% global market share, holding a 65% global market share in Lab-Grown Diamond (LGD) certification.

• The Board of Directors of International Gemmological Institute (India) Limited (IGIL), on June 6, 2025, approved the appointment of Mr. Anoop Mehta (DIN: 00107044) as an Additional Non-Executive Independent Director, based on the recommendation of the Nomination and Remuneration Committee.
• The appointment is effective from June 6, 2025, for a period of five years, subject to shareholders' approval.
• Mr. Mehta is the Chairman and Managing Director of Mohit Diamonds Private Limited (Mohit Group) and a partner of Mohanlal Raichand & Sons.
• He has over 50 years of experience and is the President of Bharat Diamond Bourse.
• He is also an Executive Committee Member of The World Federation of Diamond Bourses and a Member of the Committee of Administration of Gem & Jewellery Export Promotion Council.
• Mr. Mehta has been actively involved in the strategic planning and development of the Bharat Diamond Bourse project and was honored with the “Lifetime Achievement Award” in September 2014 and in 2023 by Gem & Jewellery Export Promotion Council.

International Gemmological Institute (India) Limited (IGIL) announced on 30 May 2025 the outcome of its Board Meeting. The Board of Directors, in their meeting held on 30 May 2025, approved the following key appointments:

• M/s. Tushar Shridharani & Associates LLP, a peer-reviewed firm of Company Secretaries in Practice (LLPIN – ACL-9350), has been appointed as the Secretarial Auditor of the company for five consecutive financial years, from FY 2025 to FY 2029. This appointment is contingent on shareholder approval at the ensuing Annual General Meeting. The LLP, incorporated on 13 February 2025, was founded by CS Tushar Shridharani, who brings 42 years of experience, including approximately 12 years serving a reputed corporate house. The LLP comprises 4 partners, all of whom are peer-reviewed.
• PricewaterhouseCoopers Services LLP has been appointed as the Internal Auditor of the company for a period of three years, from FY 2025 to FY 2027. PricewaterhouseCoopers Services LLP is a consulting services firm with its registered office in New Delhi, whose Key Management Persons possess over 20 years of experience in internal audit services. The firm specializes in diverse areas including assurance, tax, deals, consulting, and risk advisory. The board meeting commenced at 10:02 a.m. (IST) and concluded at 10:21 a.m. (IST).

International Gemmological Institute (India) Limited (IGIL) announced on May 29, 2025, the incorporation of a new wholly-owned subsidiary in Dubai, United Arab Emirates.

• The subsidiary, named IGI Diamonds and Gemstones Testing Laboratory L.L.C, was incorporated on May 16, 2025.
• The primary business of the new entity will be diamond and precious gemstones testing laboratory services.
• The objective behind this incorporation is to expand IGIL's core business into an important market.
• The subscribed/paid-up capital for IGI Diamonds and Gemstones Testing Laboratory L.L.C is UAE Dirham 1,00,000, which is approximately ₹ 23,39,840.
• As an indirect subsidiary of IGIL, it is considered a related party.
• The new subsidiary is yet to commence its business operations.
