The 40th Annual General Meeting of Jindal Saw Limited was held on 12th June, 2025, via video conferencing.
The meeting addressed the following key items:
Adoption of audited standalone and consolidated financial statements for the year ended 31st March, 2025.
Declaration of dividend on equity shares for the financial year ended 31st March, 2025.
Re-appointment of Shri Prithavi Raj Jindal and Ms. Tripti Jindal Arya as Directors.
Re-appointment of Ms. Sminu Jindal as Managing Director.
Approval of material related party transactions with JWIL Infra Limited, JSW Steel Limited and Jindal Steel and Power Limited.
Ratification of remuneration to be paid to M/s R.J. Goel & Co., as Cost Auditors for FY 2025-26.
Appointment of M/s S.K. Gupta & Co., as Secretarial Auditors for 5 consecutive years effective from FY 2025-2026.
Approval for issuance of Non-Convertible Debentures on a private placement basis.

Jindal Saw Limited announced that its shareholding in its subsidiary, Jindal ITF Limited, has been diluted from 76.09% to 56.42%.
This dilution is a result of Jindal ITF Limited allotting further equity shares to its other shareholders.
The dilution date was 9 June 2025.
Jindal ITF Limited is involved in the water transportation industry and was incorporated on 18 September 2007.

Jindal Saw's board approved the incorporation of a step-down subsidiary in the United Arab Emirates (UAE).
The company will enter into a Joint Venture (JV) agreement between Jindal Saw Holdings FZE (JSH) and BUHUR FOR INVESTMENT COMPANY LLC, KSA (Buhur) to establish a new company in the Kingdom of Saudi Arabia (KSA) for Helically Spiral welded (HSAW) pipe project.
Another JV agreement between JSH and RAX United Industrial Company, KSA (RAX) will lead to a new company in KSA for a Ductile Iron Pipe project.
The UAE subsidiary aims to set up a 300,000 tons per annum (TPA) capacity Seamless Pipe Manufacturing Facility in Abu Dhabi, catering to the Oil & Gas Sector of the MENA region.
The company will acquire 100% shareholding in UAE step-down subsidiary with a cost of upto USD 105 Million (₹877.13 Crore approximately).
Jindal Saw will have 51% shareholding in both KSA Joint ventures.
The investment in BUHUR FOR INVESTMENT COMPANY LLC will be upto USD 10 Million (₹83.53 Crore approximately) and RAX United Industrial Company, KSA will be upto USD 3 Million (₹25.06 Crore approximately).
The projects are expected to complete in approximately 3 years for UAE, 2 years for Helically Spiral welded (HSAW) pipe project and 12-18 months for DucƟle Iron Pipe project.
