• The postal ballot included three special resolutions, all of which were approved by the shareholders.

  • Votes in favour: 1.10 crore shares (96.06%).

• Resolution 3: Re-designation and appointment of Mr. Rittick Roy Burman as "Managing Director" for a fresh term of three consecutive years commencing from April 01, 2025, was approved.
  • Total votes polled: 1.15 crore shares (62.82% of outstanding shares).
  • Votes in favour: 1.15 crore shares (99.99%).
  • Votes against: 1,033 shares (0.01%).

Khadim India Limited announced the results of its postal ballot, confirming that all special resolutions were passed by the company's members with the requisite majority on June 23, 2025. The resolutions were:

• Re-designation and appointment of Mrs. Upama Mukherjee as an Independent Director of the Company. This resolution received 1,10,90,082 votes (96.0616%) in favour.
• Re-designation and appointment of Mr. Siddhartha Roy Burman as Executive Chairman (Whole-Time Key Managerial Personnel) for a fresh term of 3 consecutive years commencing from April 1, 2025. This resolution garnered 1,10,90,099 votes (96.0619%) in favour.
• Re-designation and appointment of Mr. Rittick Roy Burman as Managing Director (Whole-Time Key Managerial Personnel) for a fresh term of 3 consecutive years commencing from April 1, 2025. This resolution was overwhelmingly approved with 1,15,43,685 votes (99.9911%) in favour.

• Khadim India Limited provided an update on the Scheme of Arrangement for the transfer of its Distribution Business to KSR Footwear Limited (Resulting Company).
• The Board of Directors of KSR Footwear Limited, at its meeting held on June 10, 2025, approved the allotment of 1,83,78,382 new Equity Shares of ₹ 10/- each fully paid up.
• These shares are to be allotted to all the Equity Shareholders of Khadim India Limited (Demerged Company) as on the Record Date of June 07, 2025.
• The Scheme was previously approved by the Hon'ble National Company Law Tribunal, Kolkata Bench, on March 27, 2025.
• KSR Footwear Limited is in the process of making necessary applications for listing and trading approvals to BSE Limited and The National Stock Exchange of India Limited.

• Khadim India Limited issued a corrigendum on June 6, 2025, to its Postal Ballot Notice dated April 01, 2025.
• The original Postal Ballot Notice was circulated to members on May 22, 2025, with e-voting scheduled from May 25, 2025, to June 23, 2025.
• The corrigendum addresses a rectification in Annexure-II of the Postal Ballot Notice, specifically changing the reference year for the number of meetings attended from '2023-24' to '2024-25'.
