Kirloskar Brothers Limited has appointed Mr. M.S. Unnikrishnan (DIN: 01460245) as an Additional Director (Non-Executive and Non-Independent) with effect from June 25, 2025.
The appointment, based on the recommendation of the Nomination and Remuneration Committee, is subject to shareholder approval at the AGM on August 01, 2025.
Mr. Unnikrishnan, 64, is a Mechanical Engineering graduate and has completed an Advanced Management Program from Harvard Business School.
He is the CEO of IITB-Monash Research Academy and previously served as Managing Director & CEO of Thermax Group for over 13 years.
He serves on the Boards of KEC International, Greaves Cotton Limited, iCAPO Tech Pvt. Ltd., Livguard Energy Technologies Pvt. Ltd and Ground Screw Pvt. Ltd.
He is also a trustee of “Akshaya Patra,” and Jehangir Hospital, Pune and a member of the Governing Councils of TERI and Army Institute of Technology.
Mr. Unnikrishnan previously served as an Independent Director of the Company from June 05, 2020 to June 04, 2025 and was a member of Audit Committee, Nomination & Remuneration Committee and Chairman of the Risk Management Committee.
He does not hold any shares in the Company.

Kirloskar Brothers Limited (KIRLOSBROS) has deposited ₹35,97,409 with the Regional Provident Fund Commissioner, Kolhapur, complying with an order under the Employees Provident Fund & Miscellaneous Provisions Act, 1952.
The order, dated March 20, 2025, fixed joint and several liability on the company and Sangli Shikshan Sanstha (SSS) towards employer’s contribution related to PF, pension, and insurance for the period from March 1982 to June 2008, for employees at educational institutes run in Kirloskarvadi.
The deposited amount pertains to unpaid contributions and administrative charges.
Kirloskar Brothers had an agreement with Sangli Shikshan Sanstha until August 7, 1986, entrusting the administration of four schools to SSS which were previously managed by the company.
The company does not foresee any immediate material impact on its finances, operations, or other activities, apart from any further liability that may be imposed as mentioned in the said Order.
