NCC Limited has provided an update regarding the merger of its Wholly Owned Subsidiary (WOS), NCC Infrastructure Holdings Limited (NCCIHL), with the company.
- An adjourned meeting of the secured creditors of NCC Limited is scheduled to be held on Monday, 16 June 2025, at 11:30 a.m.
- This meeting is being convened as per the decision of the Chairman appointed by, and directions of, the Hon’ble National Company Law Tribunal (NCLT) vide order dated 26 May 2025.
- Notices for this adjourned meeting have been emailed to all secured creditors.
- Newspaper notices, as required under Section 230 of the Companies Act, 2013, were published on 31 May 2025, in Business Standard (English) and Nava Telangana (Telugu).
- The notice of the meeting and other relevant documents for the Scheme of Arrangement are accessible on the company's website at https://www.ncclimited.com/Scheme-of-Arrangement.html.
- Previously, a meeting of secured creditors was convened on 29 November 2024, held on 30 January 2025, and subsequently adjourned to 16 April 2025.
- At the adjourned meeting on 16 April 2025, fourteen (14) Secured Creditors, representing 70.55% in value of the total outstanding debt, were present.
- The Working Capital Consortium lenders, holding approximately 59% of the total outstanding debt, requested a 2-month adjournment, which was approved by a voice vote of the Secured Creditors.
- The Hon’ble NCLT pronounced an order on 26 May 2025, allowing the company to proceed in accordance with its order dated 29 November 2024.
- The resolution, as sought in the initial notice for the Tribunal Convened Meeting dated 26 December 2024, will be considered and potentially passed, with or without modifications, at the upcoming meeting.
- Copies of the Scheme and supporting documents are available free of charge at NCC Limited's registered office during business hours.
- Persons entitled to vote may do so in person or by proxy, with proxies needing to be deposited at the registered office at least 48 hours before the meeting.
- Mr. Md. Hidayathullah Shareef, the Tribunal-appointed Chairman, will preside over the adjourned meeting, and Mr. Srikant Kumar Puthi, PCS, has been appointed as the Scrutiniser.
- The proposed Scheme of Arrangement, if approved by the secured creditors, will remain subject to the subsequent approval of the Tribunal.
