Narayana Hrudayalaya Ltd. (NH) has issued a clarification regarding recent news articles and media interviews concerning its business activities, stating that the information shared was previously disclosed to the stock exchanges.
Pertaining to news articles published on June 25, 2025, titled “Narayana Health Executes Land Deals in City Worth ₹246 cr” related to land acquisition in Bengaluru, the company clarified that the necessary disclosures for this land purchase were already made to the stock exchanges on February 5, 2025.
Addressing a media interview with Ms. Sandhya J, Group CFO, broadcast on June 25, 2025, which mentioned a commitment of ₹400 crore over four years to the company's integrated healthcare business, NH stated that this information was previously disclosed to the stock exchanges on June 2, 2025, following a Board Meeting held on May 23, 2025.
Narayana Hrudayalaya Ltd. (NH) has received an Observation Letter with ‘No Adverse Observation’ from BSE Limited on 23 June 2025 regarding the proposed Scheme of Arrangement between Meridian Medical Research & Hospital Ltd (a subsidiary) and Narayana Hrudayalaya Limited.
The company's board had approved the Scheme of Arrangement on 29 November 2024.
The Scheme is subject to statutory and regulatory approvals, including those from the National Company Law Tribunal, shareholders and creditors.
Health City Cayman Islands Ltd. (HCCI), a wholly-owned overseas subsidiary of Narayana Hrudayalaya Ltd, has invested USD 1 million (₹8.34 crore) in Cayman Integrated Healthcare Limited (CIHL), a wholly-owned step-down subsidiary.
The investment was made through subscription to 1,00,000 equity shares of CIHL at USD 10 each, allotted on June 10, 2025.
Following this, HCCI's total investment in CIHL stands at USD 8.05 million (₹67.12 crore).
CIHL's turnover for FY 2024-25 was USD 3.9 million (₹32.53 crore).
The funds will be used to meet CIHL's working capital requirements.
