Sanofi India Limited announced the publication of newspaper advertisements on 30 May 2025 in Business Standard (English) and Sakal (Marathi).

• The notice is for shareholders who have not claimed their dividend(s) for seven consecutive years or more.
• As a consequence, their shares are liable for transfer to the Investor Education and Protection Fund (IEPF).
• This transfer is mandated by Section 124(6) of the Companies Act, 2013, read with the Investor Education and Protection Fund Authority (Accounting, Audit, Transfer and Refund) Rules, 2016, and subsequent amendments.

• Sanofi India Limited received an order from the Assistant Commissioner of State Tax (Ahmedabad), Gujarat, regarding proceedings for the financial year 2020-21.
• The order pertains to the dropping of proceedings under section 73/74 that were initiated for denying ineligible Input Tax Credit (ITC) as per section 16(2), claimed from cancelled taxpayers, as well as non-genuine and non-existent taxpayers, along with return/tax defaulter.
• The total liability determined in this context amounts to ₹ 1,16,27,980.
• The Assistant Commissioner had issued a show cause notice in DRC-01 for the financial year 2020-21, determining a total liability of ₹ 1,16,27,980.
• Sanofi India Limited filed submissions against the proposed liability. The Assistant Commissioner accepted the submissions and issued an order for dropping the proceedings under section 73/74.
• The company stated that there is no material impact on financial, operational, or other activities of the company.

• Sanofi India Limited has appointed Ms. Sudipta Chakraborty as the Head of Legal, India, effective from 2nd June 2025.
• The appointment follows the recommendation of the Nomination and Remuneration Committee and approval by the Board of Directors.
• Ms. Chakraborty has over 20 years of experience in the Legal function, specializing in Legal, Compliance, Patents and Trademark laws.
• She joins Sanofi India Limited from Aditya Birla Group, where she was designated as the Vice President - Group Legal & Compliance.
• Ms. Chakraborty holds a BA LLB (Honours) degree from the National Law School of India University, Bangalore.

• Sanofi India Limited announced that the State Tax Officer (Kerala), State Goods and Service Tax Department, has accepted the company's application under the Amnesty Scheme for the Financial Year 2018-19.
• The application's acceptance includes a waiver of a penalty amounting to ₹99.85 lakhs.
• The penalty was initially determined under section 73(9) of the CGST/SGST Act read with section 20 of the IGST Act 2017, related to violations including Proviso to Section 122[1][xiv] of the CGST Act 2017, violation of Rule 46[b] and 138, and contravention of section 131 of CGST ACT of the CGST/ KSGST Act,2017.
• The original Demand Cum Recovery Notice had levied a penalty of ₹99.85 lakhs for the Financial Year 2018-19.
• The company does not anticipate any material impact on its financial or operational activities due to this waiver.

Sanofi India Limited held its 69th Annual General Meeting (AGM) on 15 May 2025 via Video Conferencing / Other Audio Visual Means, attended by 76 shareholders. The meeting discussed and approved several key resolutions, including:

• Adoption of the Annual Audited Financial Statements (Standalone and Consolidated) for the Financial Year ended 31 December 2024.
• Declaration of a final dividend of ₹ 117 per equity share of ₹ 10 each for the Financial Year ended 31 December 2024.
• Re-appointment of Directors Ms. Renee Amonkar and Mr. Rachid Ayari, who retired by rotation.
• Re-appointment of Mr. Rahul Bhatnagar as Independent Director for a second term from 29 July 2025 to 28 July 2030.
• Re-designation of Mr. Rodolfo Hrosz as Non-Executive Director.
• Appointment of M/s. Parikh & Associates as Secretarial Auditor for a term of five consecutive years from FY 2025 to FY 2029.
• Ratification of remuneration payable to the Cost Auditors for the Financial Year ending 31 December 2025.
