SCILAL responded to an inquiry from the National Stock Exchange of India (NSE) regarding a significant increase in the volume of its security across exchanges.
The company affirmed that it has been listed on NSE and BSE Limited since 19 March 2024 and adheres to a consistent Corporate Governance Policy.
SCILAL stated that it discloses all required events, information, and announcements as per Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
The company confirmed that there are no pending announcements from its side at this stage that would account for the increase in volume.
SCILAL assured the NSE that it will continue to disseminate any price-sensitive information that may affect the price/volume of its shares to the exchanges and make it available on its website.

SCILAL Board Addresses NSE & BSE Fines for Non-Compliance with LODR Regulations

SCILAL's Board of Directors addressed fines levied by the NSE and BSE for non-compliance with SEBI (LODR) Regulations from 1 Oct 24 to 31 Dec 24 (Q3 FY25).
The fines, amounting to ₹14,23,080 (inclusive of 18% GST) each from NSE and BSE, were due to non-appointment of Independent Directors, including a woman director, and non-compliance with statutory committee constitution as per Regulations 17(1), 17(2A), 18(1), 19, 20 and 21(2).
The Board clarified that as a Public Sector Undertaking, the Ministry of Ports, Shipping and Waterways (MoPSW) has the authority to appoint/remove directors.
SCILAL requested MoPSW on 21 Mar 25 to appoint the required Independent Directors and a woman director; the appointments are under consideration.
The MoPSW appointed Prof. (Dr) K. Jayaprasad as a Non-official Independent Director effective 15 Apr 25, formalized on 24 Apr 25, and statutory committees were reconstituted from 15 Apr 25.
The Board acknowledged that the composition of the Audit Committee and Nomination and Remuneration Committee does not fully comply with applicable norms, and the overall Board composition still falls short of mandated requirements.
The company requested NSE on 19 Mar 25 to waive the levied fines.

SCILAL Adopts Amended Code of Conduct for Prohibition of Insider Trading

Shipping Corporation of India Land and Assets Limited (SCILAL) has amended its Code of Conduct for Prohibition of Insider Trading, in compliance with Regulation 8 of the SEBI (Prohibition of Insider Trading) Regulations, 2015.
The amended SCILAL Code was approved by the Board of Directors on 6 May 2025 and will be effective from 10 June 2025.
The code applies to all Designated Persons and Immediate Relatives of Designated Persons, as well as anyone with access to Unpublished Price Sensitive Information (UPSI) of SCILAL's securities, including Connected Persons.
Key definitions within the code include: Connected Person, Designated Persons, Fiduciary, Legitimate Purpose, Immediate Relative, Insider, and Unpublished Price Sensitive Information (UPSI).
The code details the protection of UPSI, including handling information on a need-to-know basis and preventing communication or procurement of UPSI.
It establishes an institutional mechanism for preventing insider trading, including internal controls and periodic process reviews.
The code outlines procedures for inquiry in case of leak or suspected leak of UPSI, including investigation by the CMD/Whole-time Director and referral to the Audit Committee or Board of Directors.
It specifies trading restrictions when in possession of UPSI, including a notional Trading Window and pre-clearance requirements for trades exceeding certain thresholds (1500 shares or ₹1,50,000).
Initial and continual disclosure requirements are detailed for promoters, key managerial personnel, directors, and designated persons.
The code includes provisions for reporting violations and penalties for contravention of the code.
Modifications and amendments to the code will be made in accordance with SEBI regulations and other applicable laws.

Shipping Corporation of India Land and Assets Limited (SCILAL) announced a change in its Board of Directors.

Capt. B.K. Tyagi, who is currently the Chairman and Managing Director of SCILAL, has been entrusted with the additional charge of Director (Operations) on the SCILAL Board.
This is pursuant to the Ministry of Ports, Shipping and Waterways conveying approval for his additional charge as Director (Personnel & Administration) at Shipping Corporation of India (SCI).
The additional charge as Director (Operations) at SCILAL is for a period of 3 months, effective from 01.05.2025 to 31.07.2025, or until further orders, whichever is earlier.
The appointment is subject to the approval of the Appointments Committee of the Cabinet (ACC).
The event occurred on 08.05.2025 at 1813 hours IST.
