SML Isuzu Limited announced on June 17, 2025, that the Competition Commission of India (CCI) has unconditionally approved a proposed transaction involving the transfer of the company's equity shares. This approval, communicated via a CCI letter dated June 17, 2025, also covers the open offer under Section 31(1) of the Competition Act, 2002. The proposed transaction includes:

• Transfer of 63,62,306 equity shares of SML Isuzu from Sumitomo Corporation to Mahindra & Mahindra Limited.
• Transfer of 21,70,747 equity shares of SML Isuzu from Isuzu Motors Limited to Mahindra & Mahindra Limited. This intimation follows the company's previous announcement on April 26, 2025, regarding the execution of the share purchase agreements for this transaction.

• SML Isuzu Limited has announced a postal ballot for shareholders, conducted through remote e-voting.
• The postal ballot notice was dispatched electronically on 12th June 2025, to shareholders registered as of the cut-off date of 10th June 2025.
• The resolutions include the appointment of Mr. Yasushi Nishikawa as a Director and as the Managing Director & Chief Executive Officer of the Company.
• Remote e-voting will commence on 14th June 2025 at 9:00 A.M (IST) and will end on 13th July 2025 at 5:00 P.M (IST).
• Mr. Kanwaljit Singh, a Practicing Company Secretary, has been appointed as the scrutinizer for the postal ballot.
• The results will be announced within 48 hours from the closure of e-voting and will be available on the company's website and stock exchanges.

• SML Isuzu Limited is seeking shareholder approval via postal ballot for the appointment of Mr. Yasushi Nishikawa as a Director and as the Managing Director & CEO of the company.
• Mr. Nishikawa's appointment as an Additional Director and MD & CEO is effective from 17th April, 2025, for a term of five years.
• The e-voting period will commence on 14th June, 2025 (9:00 AM IST) and will end on 13th July, 2025 (5:00 PM IST).
• The proposed remuneration for Mr. Nishikawa includes a salary of ₹5,77,500 per month, with potential increases up to ₹8,00,000 per month, and a commission of 1% of net profits (up to 100% of annual salary).
• He has over 38 years of experience with Sumitomo Corporation, including positions in Mexico and Japan.

• SML Isuzu Limited informs shareholders about the transfer of unclaimed dividend for FY 2017-18 and corresponding shares to the Investor Education and Protection Fund (IEPF).
• As per Section 124 of the Companies Act, 2013, the unclaimed dividend and shares for which dividend has remained unclaimed for seven consecutive years from the end of FY 2017-18 will be transferred to IEPF on 13th September, 2025.
• The company has uploaded details of concerned shareholders and the number of shares due for transfer on its website.
• Individual letters have been sent to the concerned shareholders at their registered addresses.
• A list of shareholders with unclaimed dividends for FY 2017-18 onwards, liable for transfer to IEPF, has also been uploaded.
• Shareholders are requested to claim their unclaimed dividends by 30th August, 2025, to avoid the transfer to the IEPF Authority.
