Surana Solar divests 49% stake in subsidiary Surana Technologies for ₹2.04 crore

Surana Solar Limited has announced the disinvestment/sale of 49% of its equity stake in Surana Technologies Private Limited, a 100% wholly-owned subsidiary.

The Board of Directors approved this transaction on 3 May 2025.
The sale was executed today, 16 May 2025, with Baidyanath Power Private Limited.
Surana Technologies Private Limited is currently involved in implementing a 54MW Solar Power Project in Maharashtra.
The consideration received from the sale is ₹2,03,61,460.
Following this transaction, Surana Technologies Private Limited will cease to be a wholly-owned subsidiary but will continue as a subsidiary of Surana Solar Limited.
Surana Technologies Private Limited has not contributed to the turnover, revenue, income, or net worth during the last financial year as it is yet to commence business activity.
The buyer, Baidyanath Power Private Limited, does not belong to the promoter/promoter group/group companies, and the transaction is not considered a related party transaction.

Surana Solar reports Q4 and Full Year FY25 financial results

Surana Solar Limited has announced its audited financial results for the fourth quarter and year ended 31 March 2025.

For the quarter ended 31 March 2025, Total Income from operations was ₹252.03 Lakhs, compared to ₹393.32 Lakhs in the corresponding quarter of the previous year (Q4 FY24). The Net Loss after tax for Q4 FY25 was ₹71.34 Lakhs, wider than the loss of ₹15.44 Lakhs in Q4 FY24.
For the full year ended 31 March 2025 (FY25), Total Income from operations stood at ₹3188.04 Lakhs, a significant increase from ₹1770.64 Lakhs in FY24. The company posted a Net Profit after tax of ₹5.85 Lakhs for FY25, a turnaround from a Net Loss after tax of ₹125.89 Lakhs reported in FY24.
As on 31 March 2025, the Equity Share Capital was ₹2460.33 Lakhs and Reserves (excluding revaluation reserves) were ₹3162.28 Lakhs.
Basic and Diluted Earnings Per Share (EPS) for Q4 FY25 was (₹0.14). For the full year FY25, EPS was ₹0.01, compared to (₹0.26) in FY24.
The results were reviewed by the Audit Committee and approved by the Board of Directors in their meeting held on 3rd May 2025.

Surana Solar Limited announced the reconstitution of its Audit Committee and Nomination and Remuneration Committee.

The reconstitution follows the resignation of Mr. Boorugu Sri Nagesh, who stepped down as Chairman and member of both committees effective 22 February 2025.
At its meeting held on 3 May 2025, the Board of Directors reconstituted the committees.
Audit Committee: Mrs. Sanjana Jain, Independent Director, has been re-designated as the Chairperson of the committee effective 3 May 2025.
Nomination and Remuneration Committee: Mrs. Sanjana Jain, Independent Director, has been inducted as a new Member and Chairperson of the committee effective 22 February 2025, replacing Mr. Boorugu Sri Nagesh.
The composition of both committees post-reconstitution is:
- Audit Committee: Mrs. Sanjana Jain (Chairman), Mr. Narender Surana (Member), Mr. N Krupakar Reddy (Member).
- Nomination and Remuneration Committee: Mrs. Sanjana Jain (Chairman), Mr. Narender Surana (Member), Mr. N Krupakar Reddy (Member).

Surana Solar Limited announced the outcome of its Board Meeting held on 3 May 2025, where the audited financial results for the fourth quarter and financial year ended 31 March 2025 were approved.

Key Financial Highlights for the full year ended 31 March 2025 (compared to 31 March 2024):

Revenue from operations stood at ₹38.80 crore, significantly up from ₹17.71 crore.
Profit After Tax was ₹0.05 crore, a turnaround from a loss of ₹1.26 crore in the previous year.
Basic Earnings Per Share (EPS) was ₹0.01, compared to ₹(0.26) in the previous year.

Key Financial Highlights for the quarter ended 31 March 2025 (compared to 31 March 2024):

Revenue from operations was ₹2.52 crore, down from ₹3.93 crore.
Loss After Tax was ₹0.71 crore, compared to a loss of ₹0.15 crore in the same quarter last year.
Basic EPS was ₹(0.14), compared to ₹(0.03).

Other significant decisions taken by the Board:

Approved the disinvestment of 49% of the company's equity stake held in M/s. Surana Technologies Private Limited. The disinvestment process may be initiated at an appropriate time in the future.
Approved the reconstitution of the Audit Committee, re-designating Smt. Sanjana Jain as the Chairperson effective from 3 May 2025.
Approved the reconstitution of the Nomination and Remuneration Committee, appointing Smt. Sanjana Jain as member and Chairperson effective from 22 February 2025.
Took note of the resignation of Shri. Boorugu Sri Nagesh from the position of Independent Director with effect from the close of business hours on 22 February 2025.

The company stated that the Statutory Auditors have issued an Audit Report with an unmodified opinion on the financial results.

Surana Solar Limited has announced the closure of its trading window from 1 Apr 25 until 48 hours after the declaration of the audited financial results for the quarter and financial year ended 31 Mar 25.
